Terms of Service

These Terms of Service form an agreement between you and Nile AI Solutions regarding your use of NileFlow.

In these Terms, “NileFlow,” “Nile AI Solutions,” “we,” “our,” and “us” refer to the provider of the NileFlow platform. “You” refers to the individual, organisation, customer, administrator, or authorised user accessing the service.

By creating an account, connecting a third-party service, purchasing a subscription, or otherwise using NileFlow, you confirm that you have read, understood, and agreed to these Terms.

If you use NileFlow on behalf of a company, organisation, or another legal entity, you represent that you have authority to accept these Terms on its behalf.

Do not access or use NileFlow if you do not agree to these Terms.

You must be at least 18 years old or have reached the legal age required to enter into a binding agreement in your jurisdiction.

You may not use NileFlow if you are legally prohibited from receiving or using the service.

If an organisation provides you with access to NileFlow, your use may also be governed by that organisation's policies and agreements.

NileFlow is an artificial intelligence and automation platform. Depending on your account, plan, region, and available features, the service may allow you to:

• Create and configure AI assistants or agents.
• Upload documents, text, and website links.
• Build and manage knowledge bases.
• Create automated workflows and responses.
• Connect websites, email, messaging, and other services.
• Connect supported Meta services, including Facebook, Instagram, Messenger, and WhatsApp.
• Generate, analyse, organise, retrieve, or transform content.
• Review usage, conversations, activity, and performance.

We may add, modify, replace, suspend, or discontinue features as the platform develops. Some features may be released as beta, preview, experimental, or early-access functionality.

You must provide accurate, current, and complete information when creating and maintaining your NileFlow account.

You are responsible for all activity performed through your account, including activity by team members, employees, contractors, agents, and other people you authorise.

You must keep passwords, API keys, authentication tokens, integration credentials, recovery information, and connected devices secure.

You must not share account credentials with unauthorised persons, sell account access, or allow another person to impersonate you.

Contact us immediately if you believe your account or any connected service has been accessed without authorisation.

NileFlow may generate text, summaries, recommendations, messages, classifications, answers, workflows, and other output using artificial intelligence.

Artificial intelligence can produce information that is inaccurate, incomplete, outdated, misleading, offensive, or unsuitable for your intended purpose.

You must independently review and verify AI-generated output before publishing it, sending it to another person, relying on it, or using it to make an important decision.

NileFlow is not a substitute for qualified legal, medical, financial, accounting, security, human resources, or other professional advice.

You remain responsible for decisions, communications, actions, and outcomes arising from your use of AI-generated content.

You may provide NileFlow with documents, prompts, instructions, customer information, messages, website content, databases, knowledge-base materials, and other data.

You retain ownership of content you lawfully provide to NileFlow. You grant us a limited right to host, copy, process, transmit, display, organise, and use that content only as reasonably necessary to:

• Provide and maintain the service.
• Complete your requested workflows and operations.
• Generate AI responses and other output.
• Provide customer support.
• Prevent abuse and protect platform security.
• Comply with applicable legal obligations.

You represent that you have all rights, permissions, notices, and lawful grounds required to upload, connect, store, or process that content through NileFlow.

You must not upload content that infringes intellectual property, privacy, confidentiality, contractual, data protection, or other rights.

If you use NileFlow to collect, store, transmit, or process personal information belonging to customers, employees, website visitors, subscribers, or other people, you are responsible for complying with applicable privacy and data protection laws.

This responsibility may include providing appropriate privacy notices, obtaining valid consent, honouring data-subject rights, maintaining a lawful basis for processing, and securing the information.

You must not use NileFlow to secretly collect personal information or process sensitive information without the authorisation and legal basis required in your jurisdiction.

Our collection and use of information are further described in our Privacy Policy.

NileFlow may provide integrations with services operated by Meta Platforms, including Facebook, Instagram, Messenger, and WhatsApp.

Your use of these integrations is also subject to the rules, policies, terms, technical limitations, messaging requirements, and permissions established by Meta and the relevant Meta service.

You may only connect accounts, pages, phone numbers, business assets, applications, and data that you own or are authorised to manage.

You must not use a Meta integration to:

• Send spam, scams, or misleading communications.
• Contact people without appropriate permission.
• Evade messaging limits, reviews, or enforcement systems.
• Misrepresent your identity, organisation, or purpose.
• Collect or sell data in an unauthorised manner.
• Violate Meta policies or applicable law.

Meta may restrict, suspend, revoke, or change access to its services at any time. We are not responsible for interruptions, limitations, policy changes, account restrictions, or decisions made by Meta.

If you use NileFlow to send email, WhatsApp messages, Messenger messages, notifications, marketing communications, or automated replies, you are responsible for obtaining any consent required by law or platform policy.

You must provide recipients with clear information about your identity and the purpose of the communication where required.

You must promptly honour valid requests to unsubscribe, opt out, stop receiving communications, or withdraw consent.

NileFlow must not be used to send unsolicited bulk messages, deceptive promotions, phishing messages, fraudulent offers, or communications intended to harass or intimidate another person.

You must not use NileFlow to:

• Break any applicable law or regulation.
• Commit fraud, impersonation, theft, or deception.
• Create, distribute, or facilitate malware, ransomware, spyware, phishing, or harmful code.
• Gain unauthorised access to accounts, devices, networks, data, or services.
• Harass, threaten, exploit, discriminate against, or harm another person.
• Generate or distribute unlawful, abusive, or exploitative content.
• Infringe copyrights, trademarks, trade secrets, privacy, or other rights.
• Collect, monitor, scrape, or process data without permission or lawful authority.
• Send spam, unsolicited bulk communications, or deceptive marketing.
• Circumvent access controls, usage restrictions, rate limits, subscription limits, or security protections.
• Interfere with the performance, availability, or security of NileFlow.
• Reverse engineer, copy, resell, or commercially exploit protected parts of NileFlow except where expressly permitted.
• Present AI-generated content as verified fact when you know or should reasonably know it has not been verified.

NileFlow may rely on or integrate with third-party services, including hosting providers, authentication services, payment processors, artificial intelligence providers, analytics tools, messaging platforms, email providers, and social networks.

Your use of a third-party service may be governed by separate terms and privacy policies established by that provider.

We do not control third-party platforms and cannot guarantee their availability, security, performance, accuracy, policies, pricing, or continued compatibility with NileFlow.

You are responsible for maintaining valid third-party accounts, permissions, subscriptions, credentials, and authorisations required for your integrations.

Some NileFlow features may require a free trial, paid subscription, usage-based payment, purchased credits, or another payment arrangement.

Prices, plan limits, included features, billing periods, taxes, and renewal details will be displayed when you subscribe or purchase a service.

You authorise us and our payment providers to charge the payment method associated with your account for applicable fees, taxes, renewals, and usage charges.

Unless stated otherwise, subscriptions automatically renew at the end of each billing period until cancelled.

You may cancel a subscription before its next renewal date. Cancellation normally takes effect at the end of the current paid billing period.

Fees already paid are non-refundable except where a refund is required by law or expressly offered by us.

We may change pricing or plan features by providing reasonable notice where required.

NileFlow plans may include limits relating to AI requests, messages, agents, workflows, knowledge-base storage, users, integrations, processing time, or other resources.

Usage limits may vary according to your plan and may be adjusted to protect service reliability, security, or fair access.

We may restrict unusually high, abusive, automated, or harmful usage that negatively affects NileFlow, its providers, or other users.

NileFlow, including its software, interface, branding, designs, documentation, workflows, website content, and underlying technology, is owned by Nile AI Solutions or its licensors.

These Terms give you a limited, non-exclusive, non-transferable, revocable right to access and use NileFlow during the period in which your account is authorised and active.

Except where expressly permitted, you may not copy, reproduce, modify, distribute, sell, license, lease, reverse engineer, or create derivative products from NileFlow.

“NileFlow,” “Nile AI Solutions,” associated logos, and related branding may not be used without prior written permission.

You may voluntarily provide suggestions, ideas, feature requests, reviews, or other feedback regarding NileFlow.

You grant us permission to use that feedback without restriction or payment, provided that we do not publicly identify you as the source without permission.

We aim to provide a reliable service, but we do not guarantee that NileFlow will always be available, uninterrupted, error-free, secure, or compatible with every device, browser, network, or third-party platform.

NileFlow may be temporarily unavailable because of maintenance, upgrades, technical failures, provider outages, security incidents, internet disruptions, or events outside our reasonable control.

Beta, experimental, and preview features may be changed or withdrawn without notice and may contain additional errors or limitations.

You may stop using NileFlow at any time. Where available, you may close your account through your account settings or by contacting us.

We may restrict, suspend, or terminate access where we reasonably believe:

• You have violated these Terms.
• Your activity creates a security or legal risk.
• Your account is being used fraudulently or without authorisation.
• Payment remains overdue.
• Your use may harm NileFlow, another user, or a third party.
• Suspension is required by law or a service provider.

Where reasonably possible and legally permitted, we may give you notice and an opportunity to correct the problem.

After termination, your right to use NileFlow ends. Certain provisions of these Terms will continue where their nature requires them to survive.

NileFlow is provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.

We do not guarantee that AI-generated output will be accurate, complete, original, appropriate, lawful, or suitable for a particular purpose.

We do not guarantee specific business results, revenue, customer growth, response rates, automation outcomes, platform approvals, or continued access to third-party integrations.

You are responsible for reviewing your workflows, outputs, permissions, recipients, and connected data before activating or relying on an automation.

To the fullest extent permitted by applicable law, Nile AI Solutions and its directors, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes loss of profits, revenue, customers, goodwill, opportunities, data, business interruption, or losses resulting from third-party services, AI-generated content, unauthorised account access, or failed automations.

To the fullest extent permitted by law, our total liability arising from or relating to NileFlow will not exceed the amount you paid to NileFlow during the six months immediately before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

To the extent permitted by law, you agree to indemnify and hold Nile AI Solutions harmless from claims, damages, losses, liabilities, and reasonable expenses arising from:

• Your unlawful or unauthorised use of NileFlow.
• Your content, data, workflows, or communications.
• Your violation of these Terms.
• Your violation of another person's rights.
• Your failure to obtain required consent or authorisation.
• Your use of third-party or Meta integrations.

You may request account or personal-data deletion by following our Data Deletion Instructions.

Some information may be retained where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, billing, or enforcement of these Terms.

We may update these Terms when NileFlow changes or when legal, security, regulatory, technical, or business requirements change.

Updated Terms will be published on this page with a revised effective date.

Where required or appropriate, we may also notify you through NileFlow or by email.

Continued use of NileFlow after updated Terms take effect means you accept the revised Terms.

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law principles, except where mandatory laws in your jurisdiction provide otherwise.

Before beginning formal legal proceedings, you agree to contact us and attempt to resolve the dispute in good faith.

Subject to any mandatory consumer rights, disputes that cannot be resolved informally will be submitted to courts with appropriate jurisdiction in Uganda.

If any part of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our written permission. We may transfer these Terms as part of a merger, restructuring, financing, acquisition, or sale of business assets.

These Terms, together with the Privacy Policy and any applicable plan or service terms, represent the agreement between you and Nile AI Solutions regarding your use of NileFlow.
